General Terms and Conditions for the Tensol Service.

Please read these terms and conditions carefully before using Our Service.


1. Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

Country refers to: Delaware, United States of America (USA).

Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Solstis Inc.

Customer means the individual or entity that has entered into an agreement with the Company to use the Service, including any Order Form, Pilot Agreement, or Statement of Work.

Customer Data means any data, information, or content that Customer uploads, submits, or otherwise provides to the Service.

Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.

Order means an order form, statement of work, or other ordering document specifying the Service to be provided and associated fees.

Service refers to the Tensol platform, including the web application, APIs, guest messaging automation, review management tools, and operational dashboards, accessible from https://tensol.ai and https://app.solstis.ai.

Terms and Conditions (also referred as "Terms" or "Agreement") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

Third-party Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.


2. Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

You represent that you are over the age of 18. Tensol does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Service and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.


3. The Service

Service Description

Tensol is a SaaS platform that helps hotels and hospitality businesses automate guest communications across email, OTA platforms, and review management. The Service includes AI-powered guest messaging, review response automation, multi-channel inbox management, and operational analytics dashboards.

Service Availability

The Company will use commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week, except for: (a) planned downtime (of which the Company will give reasonable advance notice); and (b) any unavailability caused by circumstances beyond the Company's reasonable control.

Service Modifications

The Company reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. The Company shall not be liable to You or to any third party for any modification, suspension, or discontinuation of the Service.


4. Account and Access

Account Registration

To access certain features of the Service, You may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your account. You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.

Authorized Users

Customer is responsible for all actions taken by its authorized users and for ensuring that all authorized users comply with these Terms.


5. Acceptable Use

Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only for Your internal business purposes.

Prohibited Activities

You agree not to:

  • Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
  • Use the Service for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way
  • Transmit any material that is defamatory, obscene, or otherwise objectionable
  • Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service
  • Use the Service to transmit any advertising or promotional material without Our prior written consent
  • Use the Service to store or transmit malicious code, viruses, or harmful data
  • Reverse engineer, decompile, or disassemble the Service or attempt to derive source code from the Service
  • Remove, alter, or obscure any proprietary notices on the Service
  • Use the Service in a manner that could disable, overburden, damage, or impair the Service

6. Fees and Payment

Fees

Customer shall pay to the Company the fees for the Service as set forth in the applicable Order. Except as expressly set forth in the Order, the Service is non-cancellable and all fees are non-refundable.

Payment Terms

Customer shall pay to the Company the fees for the Service provided hereunder by recurring credit card charges or by invoice within thirty (30) days from the invoice date.

Taxes

All fees are exclusive of taxes, levies, and duties, and Customer shall be responsible for payment of all such taxes, levies, and duties.


7. Termination

Termination for Convenience

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately.

Effect of Termination

Upon termination:

  • All rights and licenses granted to You under these Terms will immediately terminate
  • You must cease all use of the Service
  • Customer remains liable for any unpaid fees due for the then-current contract term

8. Intellectual Property

Company's Intellectual Property

The Company, or its licensors, own all right, title and interest in and to the Service. Except for the limited rights expressly granted herein, the Agreement does not transfer from the Company any proprietary right or interest in the Service.

Customer's Intellectual Property

Customer shall own all right, title and interest in and to the Customer Data. Except for the limited rights expressly granted herein, the Agreement does not transfer from Customer any proprietary right or interest in the Customer Data.


9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service).


10. Disclaimer of Warranties

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service.


11. Governing Law

The laws of the State of Delaware, United States, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service.


12. Changes to These Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least thirty (30) days' notice prior to any new terms taking effect.
